Welcome to Blue Citizen (the "Website" or "Platform"), a platform that enables coOwnership of coliving spaces (the "coLiving Spaces"). By accessing or using the Website, you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Website.
Blue Citizen is a company incorporated under the laws of Hong Kong.
"coLiving Space" means a shared living space, including but not limited to apartments, houses, or rooms, that is owned and managed by Blue Citizen.
"coOwner" means an individual or entity that has purchased a share of a coLiving Space through the Website.
"Share" means a percentage of ownership in a coLiving Space, as determined by Blue Citizen.
"Website" means the Blue Citizen website and all its subdomains.
By purchasing a Share, you become a coOwner of the corresponding coLiving Space.
As a coOwner, you have the right to occupy the coLiving Space for personal use, subject to the terms and conditions of this Agreement.
You acknowledge that you are not purchasing a lease or a tenancy agreement, but rather a share of ownership in the coLiving Space.
As a coOwner, you are responsible for paying your share of the expenses and maintenance costs of the coLiving Space, as determined by Blue Citizen.
You agree to comply with the rules and regulations of the coLiving Space, as set forth in the coLiving Space's House Rules (the "House Rules").
You are responsible for maintaining the cleanliness and condition of your living space and common areas.
You may occupy the coLiving Space for personal use, subject to the terms and conditions of this Agreement.
You may not sublet or assign your Share to another person or entity without the prior written consent of Blue Citizen.
You agree to vacate the coLiving Space upon the expiration or termination of this Agreement.
Blue Citizen is responsible for maintaining and repairing the coLiving Space, except for any damage caused by your negligence or intentional misconduct.
You agree to report any damage or maintenance issues to Blue Citizen promptly.
Blue Citizen will maintain insurance coverage for the coLiving Space, including liability insurance and property insurance.
You agree to cooperate with Blue Citizen in the event of an insurance claim.
Any disputes arising out of or related to this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration will be conducted in Hong Kong, and the parties will bear their own costs and expenses.
This Agreement will be governed by and construed in accordance with the laws of Hong Kong.
Any disputes arising out of or related to this Agreement will be resolved in accordance with the laws of Hong Kong.
Blue Citizen reserves the right to amend these Terms at any time, without notice.
Your continued use of the Website after any amendments will constitute your acceptance of the amended Terms.
Blue Citizen may terminate this Agreement at any time, with or without cause.
Upon termination, you will vacate the coLiving Space and return any keys or access devices to Blue Citizen.
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings.
The failure of either party to enforce any provision of this Agreement will not be deemed a waiver of that provision.
If any provision of this Agreement is held to be invalid or unenforceable, it will be severed from the Agreement, and the remaining provisions will remain in effect.
